1. Scope of Application
These Terms & Conditions apply to all contracts between AVAdesk – Dennis Lasch (“AVAdesk”) and the customer.
AVAdesk operates exclusively in the B2B sector; no right of withdrawal applies.
Conflicting conditions shall only apply if agreed upon in writing.
2. Subject of the Agreement
AVAdesk provides companies with an AI-powered communication solution, including:
automated inbound call handling
real-time AI voice dialogues
parallel call processing (multiple simultaneous calls)
appointment scheduling
information delivery
escalation to human staff
optional chat solution
CRM integrations
reporting & analytics
transcriptions
workflow automations
All technical operations and the complete service delivery are provided directly by AVAdesk.
Throughout the contract term, AVAdesk is the sole operator, service provider, and support contact for the customer.
3. Service Models & Pricing
3.1 Standard Plan – €399 / month
up to 1,000 inbound minutes
each additional minute: €0.30

Included in Standard:
real-time speech recognition
intent detection
appointment scheduling
call forwarding to human staff
AI-managed dialogue
CRM standard integrations
dashboard & analytics
call logs & transcripts
parallel call processing
basic knowledge base

3.2 Pro Plan – €599 / month
up to 2,000 inbound minutes
each additional minute: €0.25
chat included
Additional Pro Features:
extended knowledge base
multilingual conversations
webhooks & custom actions
advanced API integrations
extended dashboards
monthly performance optimization
optional call recording
3.3 Custom Plans
For special requirements, a customized plan is created and defined in a separate agreement.
This may supplement or override parts of these T&C.
4. Onboarding Fee
The onboarding fee is:
€2,999 one-time, or
€330 per month for 12 months
It includes:
full system setup
AI configuration & dialogue design
creation of the knowledge base
setup of all standard integrations
CRM, booking, ERP, ticket system connections
testing & live deployment
onboarding training
support throughout the onboarding phase
Integration Policy
Standard integrations can be added or modified at any time, included in the price.
Custom or complex integrations may incur additional charges, always communicated and approved in advance.
5. Contract Formation
The contract becomes effective once:
the customer agrees during the consultation call,
AVAdesk sends a Stripe payment link, and
the customer completes the onboarding payment.
By completing the onboarding payment, the customer confirms activation of the monthly subscription.
Monthly fees are charged on the following 1st or 15th.
6. Term & Cancellation
Contract duration: 12 months
Automatic renewal: 12 additional months
Termination notice: 3 months before renewal

7. Payment Terms
Onboarding fee: due immediately
Monthly fees: charged on the next 1st or 15th
Payments are processed exclusively through Stripe
Customer authorizes automatic recurring billing

9. Transferability / Organisational Adjustments
AVAdesk is a product-based service system and not tied to any specific legal company structure.
AVAdesk reserves the right to:
transfer operations to a different legal entity,
merge AVAdesk into another organization,
or assign AVAdesk as part of a structural or ownership change.
In such cases:
contract data and payment data will be lawfully transferred
customers will be notified of any changes
services remain unchanged
the customer agrees to this possibility upon contract acceptance
No special termination right arises.

11. Liability
AVAdesk is liable only for intent or gross negligence.
No liability for:
operational interruptions
indirect damages
failures of telecommunications services or CRM systems
loss of profit
12. Severability Clause
If any clause becomes invalid, the remaining clauses remain unaffected.
A valid and economically equivalent replacement clause shall apply.
